End User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("Licensee") and Dunosis LLC, an Illinois limited liability company and the owner and operator of CommuniData ("Licensor"), governing your use of the CommuniData web platform and all associated services ("Product"). By accessing or using the Product, you agree to be bound by this EULA.

1. GRANT OF LICENSE

Licensor grants Licensee a non-exclusive, non-transferable, revocable license to access and use the Product solely for Licensee's internal business or personal purposes, subject to the terms and conditions of this EULA. This license becomes effective on the date Licensee first accesses or uses the Product.

This Product is licensed, not sold. Licensee acknowledges that Dunosis LLC retains all ownership and intellectual property rights in and to the Product.

2. RESTRICTIONS

Licensee shall not, and shall not permit any third party to:

Modify, adapt, translate, reverse engineer, decompile, or disassemble the Product, except as expressly permitted by applicable law.
Distribute, sublicense, lease, rent, or loan the Product to any third party.
Use the Product for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on or within the Product.
Use automated scripts, bots, or other means to access, scrape, or extract data from the Product without prior written consent from Licensor.

3. INTELLECTUAL PROPERTY

All title and intellectual property rights in and to the Product — including but not limited to software, design, data visualizations, datasets, and documentation — are owned by Dunosis LLC or its licensors. All rights not expressly granted in this EULA are reserved by Licensor.

4. MAINTENANCE AND SUPPORT

Licensor will provide maintenance and support for the Product as described in any applicable Service Agreement entered into between Licensor and Licensee. Any scheduled maintenance that may affect Product availability will be communicated to Licensee in advance, typically via email or in-app notification.

Licensor reserves the right to modify, suspend, or discontinue any feature or aspect of the Product at any time with reasonable notice.

5. TERMINATION

This EULA is effective until terminated. Licensee may terminate this EULA at any time by ceasing all use of the Product. Licensor may terminate or suspend this EULA and Licensee's access immediately, without prior notice, if Licensee fails to comply with any term of this EULA.

Upon termination, all rights granted to Licensee under this EULA immediately cease. Any provisions that by their nature should survive termination (including intellectual property, disclaimer of warranty, and limitation of liability) shall survive.

6. DISCLAIMER OF WARRANTY

The Product is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy of data, and non-infringement. Licensor does not warrant that the Product will meet Licensee's requirements, operate without interruption, or be error-free.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, in no event shall Dunosis LLC be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, loss of business opportunity, or business interruption — arising out of or in connection with Licensee's use of or inability to use the Product, even if Licensor has been advised of the possibility of such damages.

Licensor's total cumulative liability to Licensee for all claims arising out of or related to this EULA shall not exceed the greater of (a) the amount paid by Licensee to Licensor in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

8. GOVERNING LAW

This EULA shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

9. ENTIRE AGREEMENT

This EULA, together with any applicable Service Agreement, constitutes the entire agreement between Licensee and Dunosis LLC regarding the Product and supersedes all prior or contemporaneous understandings, representations, or agreements — whether written or oral — relating to the subject matter herein.

If any provision of this EULA is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Acceptance of Terms

By accessing, registering for, or using CommuniData, you acknowledge that you have read, understood, and agree to be bound by this End-User License Agreement. If you do not agree to these terms, you must not access or use the Product.
